Nvidia disclosed Monday that it holds a 9.3% stake in Nebius Group, expanding on the $2 billion investment the semiconductor company announced earlier this year.
The position represents approximately 22.26 million Class A shares. According to the filing, Nvidia already owns about 1.19 million shares and has the right to acquire another 21.07 million through a pre-funded warrant issued as part of the March investment agreement.
Nvidia cannot exercise the warrant before September 11 under the restrictions described in the latest filing. Nebius shares gained roughly 3% in after-hours trading following the disclosure.
The original agreement provided Nebius with approximately $2 billion in gross proceeds. The warrant carries an exercise price of $0.0001 per share, and Nebius said the investment would help finance the expansion of its full-stack artificial-intelligence cloud platform and the construction of new data centers.
Nebius is an Amsterdam-based AI cloud infrastructure company that emerged from the restructuring of Yandex. It provides computing capacity and other cloud services designed for companies developing and operating artificial-intelligence systems.
The company has set a goal of deploying more than 5 gigawatts of Nvidia-powered computing capacity by the end of 2030. Nvidia and Nebius previously announced a broader strategic partnership focused on developing and operating large-scale AI cloud infrastructure.
Nebius is also an Nvidia customer, meaning the investment strengthens the relationship between the chip supplier and a company purchasing its accelerated-computing systems. Nvidia has made several investments across the AI and data-center ecosystem as it seeks to increase the use of its hardware and software platforms.
Nebius and CoreWeave are commonly described as “neocloud” companies. These rapidly expanding infrastructure providers differ from traditional cloud platforms by concentrating heavily on high-performance computing capacity designed specifically for AI developers and major technology customers.
